Camera Club of Brevard By-Laws
Article 1
NAME
The organization shall be known as The Camera Club of Brevard, CCB, located in Melbourne Florida and consisting of members primarily from Brevard County.
Article 2
MISSION
In recognition of photography as an art form, the CCB seeks to enhance the skills of the amateur photographer via the following activities:
• The presentation of educational programs.
• Sharing of technical skills and new techniques.
• Conducting competitive juries exhibits as per CCB photo contest rules.
• Placing exhibits of members' photographic works in public areas such as: libraries art centers, museums etc.
• Conducting periodic photographic Field Trips
• Foster communication with other photographic organizations.
Article 3
MEETINGS
The Executive Board shall stipulate the place, date, and time of the regular monthly meetings of the CCB. All official meetings of the CCB and the Executive Board shall be conducted using Robert's "Rules of Order" as a guide. Exhibits and competitions shall be open to all members in good standing.
Article 4
MEMBERSHIP
The membership shall be open to anyone, regardless of age, sex, religion, or ethnic background. Members will pay dues once per year. Membership dues shall be payable on the anniversary date of the member but no later than 30 days past the initial anniversary date. Members meeting these criteria are considered in good standing. Student dues are $15, Individual dues are $30, and Family dues are $35.
All officers shall have their dues reimbursed after completing 6 months and 1 day of service during a single term. The amount shall not exceed the amount paid (student or individual fees) for an individual, or the amount of a family membership if 2 or more members hold office.
Article 5
OFFICERS
The following officers shall be elected by the membership:
• President
• First Vice President in charge of Programs
• Second Vice President in charge of Field Trips
• Secretary
• Treasurer
The following officers shall be appointed by the president:
• F-Stop Editor (Newsletter)
• Membership Committee Chairperson
• Photography Display Coordinator
• Webmaster
Article 6
COMMITTEES
The following standing committees shall be established to conduct CCB activities as provided in Article 11 of the By-Laws:
• By-Laws
• Financial Review
• Exhibitions and Competitions
Article 7
EXECUTIVE BOARD
The management of the CCB shall be directed by the executive board composed of the elected and appointed officers, as outlined in Article 5. The Executive Board shall meet as often as necessary to transact the business of the CCB. Prior to the March meeting the executive board shall plan the activities for the up-coming year. The executive board may use any affective means of communication necessary to conduct club business. Four Board Members shall constitute a quorum. Each position is entitled to one vote.
Article 8
AMENDMENTS
Amendments to these By-Laws may be proposed to the Executive Board by any member in good standing and, if approved, shall be voted upon by the club membership for incorporation. A simple majority shall be required for passage of all proposed amendments.
Article 9
ELECTIONS
Elections of the CCB officers shall be held annually in February. The President shall appoint a Nominating Committee to be comprised of six members in good standing, three of whom are on the Executive Board and three who are not. This committee shall prepare a slate of candidates for each position and obtain agreement from the nominees to serve in that position if elected. Ten days prior to the February meeting, prepared ballots will be available for those members not able to be present at the February meeting. These absentee ballots may be picked up from the Chairperson of the Nominating Committee and must be returned to the Chairperson on or before the February meeting. The Committee shall present the slate of candidates at the February meeting, along with the prepared written ballot for the election. Additional nominations can be made from the floor. A space shall be provided on the ballot for write-ins. Only members in good standing may participate in the election. The election shall be conducted by written ballot. The written ballots will be tabulated and the results of the election will be announced at the February meeting. The term of the new slate of officers shall commence at the end of the February meeting and continue for one year. The current officers may continue to be nominated and re-elected to serve in the same position, or another position without term restrictions. Vacancies in the CCB offices shall be filled by the President, with the approval of the Executive Board. Vacancy of the office of President shall be filled by the advancement of the first Vice President. The second Vice President may then assume the position of the first Vice President or continue on in the present position. The Executive Board may fill the vacated position by majority agreement.
Article 10
DUTIES OF OFFICERS
The President shall: preside at all CCB meetings and the Executive Board meetings; appoint chairpersons of all of the Standing Committees; act as the CCB spokesperson; execute any contract or binding agreement on behalf of the CCB with the approval of the Executive Board; generally supervise and be aware of all CCB activities.
The First Vice President shall: assume the duties of the President, when needed; act as a Director on the Executive Board; plan and coordinate programs for the monthly meetings.
The Second Vice President shall: preside at meetings in the absence of the President and the First Vice President; act as a Director on the Executive Board; plan and coordinate periodic photographic field trips.
The Treasurer shall: administer receipt and disbursement of club funds (two authorized signatures shall be required on all disbursements and all disbursements shall be pre-approved by the Executive Board); maintain financial records; provide monthly written reports to the Secretary at each CCB meeting for the records; support all financial audits: act as a Director on the Executive Board.
The Secretary shall: provide written Minutes of all regular and Executive Board meetings; keep the official records of the CCB in custody, and transfer these records on to any successor to this position; act as a Director on the Executive Board.
The F-Stop Editor shall: prepare and mail to the Membership, a monthly newsletter, entitled the "F-Stop", relating the current information and plans of the Club. Each issue may be reviewed and approved at the president’s discretion, prior to the printing and mailing. The F-Stop shall be mailed at least ten days prior to regularly scheduled meetings; serve as a Director on the Executive Board.
Membership Chairperson shall: spearhead efforts to maintain and increase the CCB membership, maintain a current written membership list and advise members of their dues renewal date, with the approval of the Executive Board, prepare news releases and flyers that explain the CCB membership benefits and serve as a Director on the Executive Board.
Photography Display Coordinator shall: be responsible for selecting and hanging CCB photographs in designated locations; serve as a Director on the Executive Board.
Webmaster shall: be responsible for designing and maintaining the clubs web site. Shall have editor’s privileges’ regarding what is displayed on the site keeping the best interest of the club in mind. The executive board will make final decisions regarding any areas of concerns; serve as a Director on the Executive Board.
Article 11
DUTIES OF THE COMMITTEES
The activities of the CCB shall be determined and directed by the Executive Board and carried out by various committees, designated for each activity.
The Committee Chairpersons shall present reports of the activity of their particular committee, periodically, to the Executive Board and the Membership at the CCB meetings. The Standing Committees are listed in Article 6.
Article 12
QUORUM
A quorum of the membership for the purpose of conducting CCB business shall consist of not less than one third of the entire membership in good standing. A quorum of the Executive Board for the purpose of conducting CCB business shall consist of not less than four votes.
